Convene Employer Hiring Agreement

This Employer Hiring Agreement ("Agreement") governs the relationship between Convene, Inc. ("Convene", "we", "our") and any company, organization, or individual using the Convene platform to hire candidates ("Employer").
By creating an Employer account, posting a role, or engaging with candidates through the Convene platform, the Employer agrees to the terms of this Agreement.
This Agreement operates in addition to the Convene Terms of Use.
1. Platform Purpose
Convene operates a marketplace platform that connects employers with recruiters who source and introduce candidates for open roles.
Convene provides technology, workflow coordination, and introductions between employers and recruiters but does not act as the employer, recruiter of record, or hiring decision maker.
All hiring decisions are made solely by the Employer.
2. Role Submissions
Employers may submit roles to the Convene platform for the purpose of receiving candidate introductions from recruiters.
By posting a role, the Employer represents that:
- the role is legitimate and actively open
- the Employer has authority to hire for the role
- the information provided about the role is accurate to the best of their knowledge
- compensation ranges and hiring requirements are reasonably accurate
Convene reserves the right to review, reject, or remove roles from the platform.
3. Candidate Introductions
Candidates may be introduced to Employers through the Convene platform by participating recruiters.
An introduction occurs when a candidate profile or resume is submitted to the Employer through the platform.
Candidate submissions may include:
- resume or profile
- contact information
- notes from the recruiter
- candidate fit summary
The Employer agrees to review and manage these introductions through the Convene platform.
4. Candidate Ownership
If a candidate is introduced to an Employer through the Convene platform, that introduction is recorded by the platform.
If multiple recruiters submit the same candidate for the same role, candidate ownership will generally be determined based on:
- submission timestamp
- recruiter verification
- candidate confirmation
- employer feedback
Convene may resolve disputes regarding duplicate submissions using platform records.
5. Placement Fees
Each role posted on the Convene platform will have an associated placement fee or recruiting fee.
The placement fee may be:
- a percentage of the candidate's first-year base salary, or
- a fixed amount defined in the role agreement.
The Employer agrees that a placement fee becomes due if:
- the Employer hires a candidate introduced through the Convene platform, and
- the hire occurs during the role's active hiring cycle or within the candidate ownership period.
The placement fee amount will be specified before recruiters are allowed to work the role.
6. Fee Trigger
A placement fee is considered earned when:
- a candidate introduced through Convene accepts an offer from the Employer, and
- the candidate begins employment with the Employer.
The Employer agrees to notify Convene of hiring decisions involving candidates introduced through the platform.
7. Candidate Ownership Window
Candidate introductions made through the Convene platform remain valid for a defined ownership window, typically twelve (12) months from the date of introduction unless otherwise specified.
If the Employer hires the candidate within that ownership window, the placement fee remains due to Convene.
This applies even if the candidate is hired through a different internal process or external recruiter after the introduction.
8. Non-Circumvention
Employers agree not to circumvent the Convene platform by hiring candidates introduced through the platform without paying the applicable placement fee.
Employers may not:
- directly engage recruiters discovered through Convene outside the platform for the same role
- hire candidates introduced through the platform without honoring the platform placement fee
These protections remain in effect during the candidate ownership window.
9. Guarantee Period
Certain roles may include a guarantee period, commonly between sixty (60) and ninety (90) days.
If a hired candidate leaves the Employer during the guarantee period, replacement or refund terms may apply as specified for the role.
Guarantee policies may vary depending on the recruiting arrangement and will be communicated through the platform.
10. Payment Terms
Placement fees are typically due within 14 to 30 days of the candidate's start date unless otherwise agreed.
Payments may be processed through third-party payment providers supported by the platform.
Late payments may result in:
- suspension of the Employer account
- restriction from posting new roles
- recovery actions permitted by law
11. Candidate Information
Employers may receive candidate information through the platform.
Candidate information may only be used for the purpose of evaluating employment opportunities.
Employers agree not to:
- distribute candidate information outside their hiring organization
- use candidate data for unrelated marketing or outreach purposes
- retain candidate data indefinitely without legitimate hiring purposes
Employers must comply with all applicable privacy and employment laws when handling candidate information.
12. Platform Role
Convene acts solely as a technology platform facilitating introductions and recruiting workflows.
Convene does not guarantee:
- the accuracy of candidate information
- the qualifications of candidates
- hiring outcomes
Employers are responsible for conducting their own hiring evaluations and due diligence.
13. Independent Recruiters
Recruiters using the platform operate as independent professionals and are not employees of Convene.
Convene does not supervise recruiter activity or guarantee recruiter performance.
14. Platform Changes
Convene may modify, suspend, or discontinue parts of the platform at any time.
We may also update features, workflows, or policies governing the Services.
15. Limitation of Liability
To the fullest extent permitted by law, Convene will not be liable for:
- indirect or consequential damages
- lost profits or business interruption
- hiring decisions made by Employers
- disputes between Employers, Recruiters, or Candidates
Total liability arising from the Services will not exceed the amount paid to Convene by the Employer in the twelve (12) months preceding the claim.
16. Termination
Convene may suspend or terminate Employer access to the platform if the Employer violates:
- this Agreement
- the Convene Terms of Use
- applicable laws
Termination does not remove obligations related to unpaid placement fees or candidate ownership.
17. Governing Law
This Agreement will be governed by the laws of the jurisdiction in which Convene operates, without regard to conflict of law principles.
18. Acceptance
By creating an Employer account, posting roles, or engaging with candidates through the Convene platform, the Employer acknowledges that they have read and agreed to this Employer Hiring Agreement.
