Convene Recruiter Agreement
This Recruiting Agreement ("Agreement") governs the relationship between Convene and the individual or entity using the Convene platform as a recruiter or referrer ("Recruiter").
A Recruiting Agreement between Convene and the Recruiter is formed when the Recruiter:
- Creates an account on the Convene platform, and
- Accepts the Convene Terms of Use and this Recruiting Agreement.
Only after a Recruiting Agreement is formed may the Recruiter submit candidates to roles listed on the Convene platform.
1. Candidate Submissions
A Candidate Submission occurs when a Recruiter introduces a candidate to a role posted on the Convene platform.
For a submission to be valid, the Recruiter must:
- Speak directly with the candidate about the specific role and confirm the candidate's interest in the opportunity.
- Provide accurate contact information for the candidate.
- Provide a current and complete resume or profile.
- Provide relevant context explaining why the candidate is a strong fit for the role.
- Submit information truthfully and to the best of their knowledge.
- Confirm the candidate has not already been introduced to the employer for the same role through another source.
Submissions must represent genuine candidate introductions. Fabricated, misleading, or incomplete submissions may result in removal of the submission and suspension of the Recruiter's account.
2. Candidate Ownership
When a Recruiter submits a candidate through Convene for a specific role, the Recruiter is considered the introducing recruiter for that candidate.
If multiple recruiters submit the same candidate for the same role, Convene will determine ownership based on:
- Submission timestamps
- Candidate confirmation
- Communication history
- Employer feedback
Duplicate submissions may be rejected.
Candidate ownership generally remains with the original submitting Recruiter for that role during the hiring cycle.
3. Hiring Cycle
The Hiring Cycle begins when a role is published on the Convene platform and continues while the role remains active.
If a candidate introduced by a Recruiter is hired by the employer during the hiring cycle, the Recruiter may be eligible for the placement payout listed on the role.
If a role is closed while a candidate remains in process, ownership of that submission may remain valid until the candidate is either hired or rejected.
4. Placement Fees and Recruiter Payout
Each role posted on Convene includes a defined placement fee or referral reward.
If a candidate submitted by a Recruiter is hired by the employer, the Recruiter may receive the portion of the fee allocated to recruiters for that role.
Payments are subject to the following conditions:
- The employer must pay Convene the applicable placement fee.
- The candidate must start employment with the employer.
- Any applicable guarantee period must be honored.
Payout structures may vary by role and may include installment payments aligned with industry-standard guarantee periods.
Recruiters may withdraw available earnings through the payment methods supported by the Convene platform.
5. Candidate Representation
Recruiters must only submit candidates they are authorized to represent.
Recruiters must not:
- Submit candidates without their knowledge or consent.
- Misrepresent the employer, role, or Convene.
- Claim to represent an employer directly unless explicitly authorized.
When discussing roles with candidates, Recruiters should present themselves as Recruiters working through the Convene platform.
6. Platform Conduct
Recruiters agree to use the Convene platform responsibly and professionally.
The following actions are prohibited:
- Misrepresenting roles or employers
- Spamming candidates or submitting large volumes of unqualified candidates
- Attempting to manipulate the platform or submission process
- Circumventing the Convene platform to avoid platform fees
- Contacting employers, companies, or hiring managers outside the Convene platform regarding roles discovered through Convene, except where Convene or the employer explicitly authorizes that communication
Violations may result in suspension or termination of the Recruiter's account.
7. Non-Circumvention
Recruiters agree not to bypass the Convene platform by pursuing direct recruiting engagements with employers discovered through Convene, or by contacting employers, companies, or hiring managers outside the platform regarding roles discovered through Convene. For purposes of this section, "platform-mediated communication" means communication initiated through workflows, contact methods, or introductions expressly provided or authorized within Convene.
This restriction applies during the Recruiter's active use of the platform and for a reasonable period following termination of their account.
Recruiters must not:
- Enter into direct recruiting agreements with employers discovered through the platform
- Accept payment directly from those employers for roles sourced through Convene
- Contact employers, companies, or hiring managers outside platform-mediated communication for roles discovered through Convene, unless expressly authorized by Convene or the employer through the platform
This clause protects the integrity of the Convene marketplace.
8. Guarantee Period and Replacement Searches
Many roles on the Convene platform include a guarantee period (commonly 60–90 days).
If a placed candidate leaves employment during the guarantee period, the employer may request either:
- A replacement search, or
- A refund or credit as defined in the role terms.
In certain circumstances, recruiters may be asked to assist in identifying replacement candidates.
Specific guarantee terms may vary by role and will be communicated through the platform.
9. Independent Contractor Status
Recruiters using Convene operate as independent contractors.
Nothing in this Agreement creates an employment, partnership, or agency relationship between Convene and the Recruiter.
Recruiters:
- Control their own work methods and schedule
- May work with other clients and platforms
- Are responsible for their own taxes and regulatory obligations
Convene does not supervise, direct, or control the Recruiter's work activities.
10. Payments and Taxes
Payments made to Recruiters may be processed through third-party payment providers.
Recruiters are responsible for:
- Providing accurate payment information
- Complying with applicable tax reporting requirements
- Paying any applicable taxes related to earnings received through the platform
Convene may report payments as required by applicable tax laws.
11. Platform Role
Convene operates as a marketplace platform connecting employers and recruiters.
Convene does not guarantee:
- That a role will result in a hire
- That any submission will be reviewed or advanced
- The accuracy of information provided by employers or candidates
Employers ultimately control hiring decisions.
12. Termination
Convene may suspend or terminate Recruiter access to the platform for violations of this Agreement, the Terms of Use, or applicable laws.
Recruiters may also discontinue use of the platform at any time.
Certain provisions of this Agreement may survive termination where necessary to enforce payment obligations, ownership rules, or other protections.
13. Acceptance
By creating an account on the Convene platform and submitting candidates through the system, the Recruiter acknowledges that they have read and agreed to this Recruiting Agreement.
